Terms of Services

These Terms of Services ("Terms") outline the agreement between you ("client") and Fluxus Solutions Ltd, trading as Service Saver ("company", “we”, “our”, or “us”) for our services. By subscribing to any plan for our services, you agree to be bound by these Terms.

Services

We offer a variety of services including lead generation, web design and our monthly subscriptions services (also referred to as recurring services). Please see the specific terms for each service:

1. Virtual Assistance

1.1 Scope of Services: We provide administrative, technical, and creative tasks as outlined on our website. This may include tasks like email management, scheduling appointments, data entry, social media scheduling (when combined with Social Media service), basic graphic design requests (when combined with Graphic Design service), and more. A detailed list of included tasks will be provided in your specific plan.

1.2 Client Responsibilities: You are responsible for providing clear instructions, deadlines, and all necessary materials for each task. You are also responsible for making sure any information provided is correct and does not breach any New Zealand laws.

1.3 Revisions: Your plan includes a limited number of revisions for completed tasks. We will do our best to accommodate additional revisions, however, exceeding four or more revisions may delay the task's completion timeline or incur an additional fee. You will be notified in advance if additional charges apply.

2. Content Creation

2.1 Content Types: We create written, audio, or visual content according to your specifications and plan. This may include blog posts, website copy, social media captions, scripts, infographics, and more. The specific content types offered may vary depending on the chosen plan.

2.2 Client Responsibilities: You are responsible for providing the required information to create the work, and approving drafts before finalisation.

2.3 Ownership: Ownership of the content will depend on the project. We may retain ownership of select content with usage rights granted to you, or we will transfer ownership to you. If we are giving you usage rights for certain content then this will be communicated to you prior.

3. Graphic Design & Print

3.1 Design Services: We design marketing materials based on your plan. This may include logos, brochures, flyers, social media graphics, presentations, and more. The specific design services offered are listed on our website.

3.2 Client Responsibilities: You are responsible for providing design direction, including brand guidelines, target audience information, and desired style. You must approve all final artwork before publishing or printing.

3.3 Printing & Shipping: Printing and shipping costs are not included in the subscription fee. We have printing partners which you have the option to use, otherwise you can organise your own printing. 

4. Marketing & Social Media

4.1 Social Media Management: We manage your social media presence according to your plan. This may include content creation, post scheduling, community engagement, and basic analytics reporting.

4.2 Marketing Campaigns: We can create and manage marketing campaigns based on your plan. This may include social media advertising, email marketing, content marketing strategy, and more. The specific marketing activities offered will vary depending on your requirements. Paid advertising and subscriptions for marketing platforms is not included in our plans, these costs are the responsibility of our clients.

4.3 Client Responsibilities: You are responsible for approving all content before posting, providing brand guidelines, and access to your social media accounts. We cannot guarantee specific results from marketing efforts, as these depend on various factors beyond our control.

5. Web Design & Development

5.1 Website Services: We can design, develop, and maintain your website based on your plan. This may include website design mockups, development of core functionalities, content integration (if provided by you), and basic ongoing maintenance. The complexity of website features will depend on the chosen plan.

5.2 Client Responsibilities: You are responsible for providing website content (text, images, videos), approving website designs, and domain name registration and hosting (we can assist with setting up your domain and hosting). Costs associated with your website such as plugins, domain, website and email hosting are not included in our plans.

5.3 Web Design & Development: For new websites and significant upgrades, clients must utilise our Web Design services as outlined on our website. We offer three starting rates, with the potential for adjustments based on project size and complexity. Each Web Design project will receive a customised quote and Terms & Conditions.

6. Lead Generation

6.1 Lead Generation Services: We offer lead generation services to help you acquire new customers. Our services may include, but are not limited to, email marketing, social media advertising, search engine optimisation (SEO), and paid advertising campaigns. The specific services provided will depend on the chosen plan.

6.2 Client Responsibilities: You are responsible for providing any necessary content or materials for the lead generation campaigns. You also agree to comply with all applicable laws and regulations regarding lead generation and data privacy.

6.3 Lead Generation Services: For custom lead generation campaigns, clients must utilise our Lead Generation Services as outlined on our website. We offer three starting rates, with the potential for adjustments based on campaign scope and complexity. Each Lead Generation campaign will receive a customised quote and Terms & Conditions.

7. Productivity

7.1 Services Provided: We provide tools and strategies to improve your workflow based on your plan. This may include project management tools recommendations, time management techniques, and automation suggestions. You can find our list of Productivity Services on our website.

7.2 Client Responsibilities: You are responsible for implementing the recommended strategies and utilising the suggested tools. Results may vary depending on your commitment to using the tools and applying the strategies consistently within your existing systems.

8. General Terms

8.1 Subscription Fees: You agree to pay the monthly subscription fee for the chosen service(s). Fees are in New Zealand Dollars (NZD) and subject to change with prior notice.

8.2 Term and Termination: Our subscriptions are month-to-month. You can pause or cancel at any time with written notice. Due to the nature of our service we do not provide refunds however, you can still use your plan for the remainder of the period. We reserve the right to terminate with cause for violation of these Terms.

8.3 Confidentiality: We understand the importance of protecting your confidential information. We will maintain the confidentiality of all information you disclose to us during the course of our service agreement, including:

  1. Client Information: This includes your name, contact information, business details, and any other personal or business information you provide.

  2. Project Information: This includes details about your projects, goals, strategies, and any other information specific to your work with us.

  3. Content and Data: This includes any content you provide for us to work on, such as documents, images, or data files.

We will take all reasonable steps to ensure the confidentiality of your information. This includes:

  1. Limited Access: Only authorised personnel within our company will have access to your information.

  2. Secure Storage: We will store your information electronically and physically in a secure manner.

  3. Data Security: We will implement appropriate security measures to protect your information from unauthorised access, disclosure, alteration, or destruction.

  4. Exceptions: We may be required to disclose your information in certain limited circumstances, such as by law or as directed by the courts. We may share your information with third-party service providers we use to perform certain tasks on our behalf.

We will notify you in advance of any potential disclosure of your information.

8.4 Warranties: We strive to provide high-quality services, but we make no warranties, express or implied, regarding the outcome of our services.

8.5 Limitation of Liability: We strive to provide high-quality services, but we understand that things may not always go according to plan. This section outlines limitations on our liability for any issues that may arise during our service agreement.

  1. Limited Liability: Our liability to you is limited to the amount of your monthly subscription fee for the service in question. This means that the maximum amount we are responsible for in the event of a problem is the cost of your service for that month.

  2. Exclusion of Consequential and Indirect Damages: We are not liable for any consequential or indirect damages arising from our services. Consequential damages are those that result from a secondary or foreseeable consequence of an initial problem. Indirect damages are those that are not directly caused by our services, but may still be related. For example, we would not be liable for lost profits, business interruption, or reputational damage that you may experience as a result of an issue with our services.

  3. Important Note: This limitation of liability does not apply in situations where we are found to be negligent or grossly negligent. New Zealand law also provides consumers with certain rights and remedies, and these rights may not be limited by this clause.

8.6 Dispute Resolution: We are committed to resolving any issues that may arise in a fair and timely manner. If you have any concerns about our services, please contact us directly. We will work with you to find a solution.

8.7 On-Site Services Definition:

On-site services refer to tasks that require our physical presence, whether at your location or a mutually agreed upon location. These services may be included in our Virtual Assistant, Marketing, and Productivity packages. Currently, on-site services are limited to the Wellington region.

8.8 On-Site Service Hours:

Hours allocated to on-site services within your plan include travel time. For services outside the Wellington region, additional fees will apply to cover travel and accommodation expenses. Unused on-site service hours cannot be carried over to the following month.

8.9 Access to Recurring Services

All clients on any plan have access to all our recurring services. However, the specific plan determines the maximum number of services that can be actively used at any given time.

  1. Service Offerings: Our recurring services include, but are not limited to, Social Media Management, Email Marketing, Google Ads, Search Engine Optimisation (SEO), Marketing Reporting, Administrative Support, Email & Communication Management, Data Entry & Document Management, Content Creation, Logo & Brand Design, Social Media Graphics, Presentations & Marketing Materials, Web Design Elements, Website Management, Ecommerce Management and Landing Pages.

  2. Task Delivery: The average delivery time for tasks varies based on the plan and the specific service. The times listed on our website and other sources are only estimates and may fluctuate depending on the complexity of the task.

  3. Task Due Dates: Clients can set due dates for tasks on their dashboard. However, due dates do not guarantee completion by that time and should be used as a indicator of when the client would like the task completed. The client manager will confirm the actual completion date before proceeding.

  4. Task Limits: While our clients can request multiple tasks for each service, we will only process one to two tasks at a time for each service.

9. Revisions to Terms of Service

We reserve the right to revise these Terms of Service at any time. We will use reasonable efforts to notify you of any changes by posting the revised Terms on our website and/or sending you an email notification.  The revised Terms will be effective on the date they are posted, and your continued use of our services after that date will constitute your acceptance of the revised Terms.  If you disagree with any changes to the Terms of Service, you may cancel your subscription before the revised Terms become effective.

10. Limitation of Liability

We shall not be liable for any loss or damage arising from the provision of marketing services, including but not limited to, loss of profits, loss of business, or loss of data. This limitation applies to any marketing materials or campaigns that have been approved by the client for publication.

It is the client's responsibility to review all marketing materials prior to publication and to ensure that they are accurate and compliant with all applicable laws and regulations.

11. Invoice Payments

Invoice payment due dates will vary depending on the service or project provided. Overdue invoices of 31 days or more will be subject to a late payment flat rate interest charge of 0.7% per month (8.4%p.a.).
