These Terms & Conditions (“Terms”) form the agreement between you (“Client”, “you”, “your”) and Fluxus Solutions Ltd, trading as Service Saver (“Service Saver”, “Company”, “we”, “us”, “our”) for our monthly subscription services (“Services”).
By subscribing to any Service Saver subscription, you agree to be bound by these Terms.
Service Slot means one active stream of work assigned to a specific service category (for example Social Media, Digital Ads, Graphic Design). Your subscription includes a set number of Service Slots, based on your plan.
Request means a clearly defined piece of work submitted by you to be completed by us within an allocated Service Slot. A Request must be specific and relate to a single deliverable or single task.
Active Request means the Request currently being worked on within a Service Slot.
Queue means the list of Requests submitted by you for a Service Slot, ordered by priority as agreed with you.
Revision means a round of changes to a delivered item based on feedback. A Revision does not include a new direction, new concept, additional deliverables, or scope expansion.
Business Day means Monday to Friday, excluding New Zealand public holidays.
2.1 Service Slots and allocation
Your plan includes a set number of Service Slots. Each Service Slot can be allocated to one service category at a time. You can reassign your Service Slots to different service categories as your priorities change, subject to reasonable notice and our workflow requirements.
2.2 Queue-based delivery
You may submit Requests at any time. To keep delivery consistent and fair:
We work on one Active Request per Service Slot at a time.
Once the Active Request is completed or approved, we move to the next Request in that Service Slot’s Queue.
2.3 Turnaround times
Turnaround times are estimates and depend on complexity, clarity of instructions, approvals, and current workload. Complex items may be delivered in stages (for example concept, draft, final).
2.4 Scope and limitations
Each service category has a defined scope and limitations, which are set out on our website, proposal, onboarding documents, or service scope sheets (“Service Scopes”). Service Scopes may be updated from time to time. Your subscription covers work that falls within the relevant Service Scope.
2.5 Fair use and workload integrity
Our subscriptions are designed for a reasonable, ongoing volume of marketing work. We may pause, re-scope, stage, or decline Requests that are unusually large, unclear, outside scope, or not aligned to the subscription model. If a Request is better suited to a fixed project, we may recommend a separate project quote.
Your subscription may include access to the following service categories (depending on your selected Service Slots and the Service Scopes in effect at the time):
3.1.1 Scope
Social Media may include content planning, content creation, scheduling, basic performance reporting, and optional content capture sessions, as set out in the Service Scope.
3.1.2 Client responsibilities
You must provide brand direction, timely approvals, access to social accounts and any required assets. You are responsible for ensuring claims and statements about your products or services are accurate and compliant.
3.1.3 Posting and timing
We do not guarantee specific engagement, reach, or sales outcomes. Platform algorithms and audience behaviour are outside our control.
3.2.1 Scope
Digital Ads may include campaign builds, optimisation, ad copy/creative iterations, monitoring, and reporting as defined in the Service Scope.
3.2.2 Ad spend and third-party costs
Advertising spend, platform fees, tracking tools, landing page tools, and any third-party subscriptions are not included in your subscription fee and are your responsibility.
3.2.3 No guaranteed results
We do not guarantee specific performance outcomes (including leads, sales, ROAS, CPC, CPA, impression share, or rankings). Results depend on budget, competition, market conditions, landing page quality, and platform behaviour.
3.3.1 Scope
Copywriting may include website copy, ad copy, email copy, captions, articles, scripts, or other written content as defined in the Service Scope.
3.3.2 Client responsibilities
You must provide accurate business information and approve final content. You are responsible for compliance with any industry rules and for ensuring all factual claims are correct.
3.4.1 Scope
Graphic Design may include marketing collateral, digital assets, ads, brand assets, documents, and other items listed in the Service Scope.
3.4.2 Source files
Where included in the Service Scope, editable source files will be supplied. Some third-party templates, fonts, or licensed assets may have restrictions.
3.5.1 Scope
Print Media may include print-ready artwork preparation and optional supplier liaison, as defined in the Service Scope.
3.5.2 Print and delivery costs
Printing, courier, installation, and supplier costs are not included in subscription fees unless explicitly stated in writing. You are responsible for approving print proofs before production.
3.6.1 Scope
Website Management & SEO may include routine updates, minor content changes, maintenance checks, and defined SEO actions, as described in the Service Scope.
3.6.2 Exclusions
Full website builds, major rebuilds, complex development, custom features, and significant redesigns are typically excluded from subscriptions unless explicitly agreed in writing. These are usually handled under separate fixed project packages and terms.
3.6.3 Third-party costs
Domains, hosting, plugins, themes, platform subscriptions, email hosting, and paid SEO tools are not included unless specified in writing.
3.7.1 Scope
Email Marketing may include campaign planning, copy, design, build, scheduling/sending, and reporting, plus automation support where defined in the Service Scope.
3.7.2 Compliance
You are responsible for ensuring your email list is collected and used lawfully and that messaging aligns with applicable marketing and privacy requirements. We can provide practical guidance, but you remain responsible for list consent and compliance.
Depending on your Service Slots and Service Scopes, we may also provide: presentation design, video editing, logo and branding, brand style guides, landing page and web design, and other related marketing services. All work remains subject to the applicable Service Scope and these Terms.
4.1 Revisions included
Revisions are included as set out in your plan and relevant Service Scope.
4.2 What counts as a Revision
A Revision includes adjustments to an existing deliverable based on feedback. A Revision does not include a new concept, new direction, additional deliverables, or major scope changes. Those will be treated as a new Request.
4.3 Approvals and delays
If approvals, feedback, access, or required inputs are delayed, this may delay delivery. If a Request is stalled, we may progress other Requests in the Queue to keep your Service Slot productive.
You agree to:
Provide clear instructions and timely feedback for all Requests.
Supply accurate information and lawful content.
Provide access to required platforms (social accounts, ad accounts, website CMS, email platforms).
Ensure you have rights to any assets you provide (images, logos, videos, fonts, testimonials).
Review and approve deliverables before publishing or spending advertising budget.
6.1 Tools and platforms
We may use third-party tools and platforms to deliver Services (for example project management, design, scheduling, analytics, and marketing platforms). You agree to comply with any applicable third-party terms.
6.2 AI-assisted delivery
We may use AI-assisted tools to support efficiency and output quality (for example drafting, concepting, editing, or automation support). You remain responsible for approving final outputs, including factual accuracy, compliance, and suitability for your business.
7.1 Subscription fees
You agree to pay the monthly subscription fee for your selected plan. Fees are in New Zealand Dollars (NZD) and may be adjusted by us with reasonable prior notice.
7.2 GST
GST will be applied where required.
7.3 Payment method
Subscriptions are billed in advance on a recurring monthly basis using the payment method you provide.
7.4 Late payment and suspension
If payment fails or is overdue, we may suspend Services (including pausing active Requests) until payment is received.
8.1 Month-to-month
Subscriptions are ongoing month-to-month unless cancelled.
8.2 Upgrades and downgrades
You may request plan changes. Plan changes generally take effect from the next billing cycle unless otherwise agreed in writing.
8.3 Pause or cancel
You may pause or cancel at any time by written notice. Due to the nature of subscription delivery, we do not provide refunds, however you may continue to use the Service for the remainder of your paid billing period.
8.4 Termination by us
We may suspend or terminate Services if you breach these Terms, misuse our team, repeatedly fail to provide required inputs, or engage in unlawful or harmful behaviour.
9.1 Client ownership
Once all subscription fees due for the relevant period are paid, you own the final deliverables created specifically for you, unless otherwise agreed in writing.
9.2 Pre-existing materials
We retain ownership of our pre-existing templates, systems, processes, know-how, and any background intellectual property used to deliver Services.
9.3 Third-party assets
Stock media, fonts, plugins, templates, and third-party resources may be subject to separate licence terms. Where licensing costs apply, these are your responsibility unless otherwise agreed.
9.4 Portfolio use
Unless you notify us in writing that you do not consent, you grant us permission to display completed work (excluding confidential data) as examples in our portfolio, proposals, and marketing.
10.1 Confidentiality
We will treat confidential business information you provide as confidential and will take reasonable steps to protect it.
10.2 Privacy
Where we handle personal information on your behalf (for example customer data in email platforms or website forms), you remain responsible for ensuring lawful collection and use. We will take reasonable steps to protect personal information we handle and will only use it to provide the Services.
10.3 Disclosure
We may disclose information if required by law, or to trusted third-party providers engaged to help deliver the Services (for example hosting, analytics, email systems), provided this is for the purpose of providing Services.
11.1 No guaranteed outcomes
Marketing performance depends on many factors outside our control. We do not guarantee rankings, leads, sales, revenue, or specific campaign performance.
11.2 Quality and delivery
We will use reasonable care and skill in delivering Services. If you believe work is not meeting the agreed scope, you must notify us promptly so we can address it.
12.1 Liability cap
To the maximum extent permitted by law, our total liability to you (whether in contract, tort, or otherwise) is limited to the subscription fees paid by you to us for the month in which the issue arose.
12.2 No indirect losses
To the maximum extent permitted by law, we are not liable for indirect or consequential losses, including loss of profit, loss of revenue, loss of business opportunity, or reputational loss.
If a dispute arises, you agree to first contact us and allow a reasonable opportunity to resolve the issue. If we cannot resolve the dispute, the parties will attempt to resolve it in good faith, including mediation where appropriate.
We may update these Terms from time to time. The updated Terms will be published on our website and will take effect from the date stated. Continued use of the Services after updates take effect constitutes acceptance of the updated Terms.
